EULA - End User License Agreement

Software License Agreement

This agreement when accepted by you shall constitute a legally binding agreement ("Agreement") between you and Sound Logic, Ltd., a Georgia corporation ("SoundTrek").

Ownership
The JAMMER program and all of the data files, supporting files, MIDI files, and style files that are packaged with it (collectively the "Software") are not sold to users, but are licensed to users on a per user basis. This Software is the sole and exclusive property of SoundTrek. Nothing in this Agreement grants to you any right, title or interest in the Software or SoundTrek's trademarks.

Grant of License
SoundTrek hereby grants to you a nonexclusive, limited license to use this Software on the condition that you agree to the terms of this Agreement. You may only install the Software on a single computer system, where it can be used by a single individual. You are not licensed to install the Software on more than one system, a network or multi-user system of any kind.

Term and Termination of License
This license is effective as of the time you receive the Software and shall continue in effect until you cease all use of the Software and return or destroy all copies thereof. If you violate any of the terms of this license, this license is automatically terminated.

Backup Copies
You may make one backup copy of the Software for archival purposes only. You may not provide this copy to other persons or companies. This backup copy remains the property of SoundTrek subject to the terms of this license agreement.

Transferal
You may transfer this license to another person, as long as (1) all copies of the Software are transferred to that person at the same time; (2) you do not retain any copies of the Software or documentation; (3) that person agrees to the terms of this license agreement. You may not copy, transfer, distribute or otherwise provide the Software to other persons. You agree that the Software remains the property of SoundTrek, and is protected by the laws of copyright and trade secrets.

Unauthorized Use
You may not use, copy, rent, lease, sell, modify, decompile, disassemble, otherwise reverse engineer, or transfer the software except as provided in this agreement. Any such unauthorized use shall result in immediate and automatic termination of this license.

Limited Warranty
SoundTrek warrants the software media (CDs) to be free from defects in workmanship for a period of thirty days from receipt. During this time, SoundTrek or its supplier will replace any defective media (CDs), provided you return the media to SoundTrek or its supplier at your expense. This is the limitation of SoundTrek's and its supplier's liability under this warranty. The warranty expressed above constitutes the sole warranty made by SoundTrek and its supplier and is in lieu of all other warranties, express or implied, including (but not limited to) implied warranties of merchantability and fitness for a particular purpose.

Disclaimer of Liability
Neither SoundTrek nor its supplier will be liable for any incidental or consequential damages including lost profits, lost data, or damages to hardware or software, arising out of the use or inability to use the Software, or arising from the negligence of SoundTrek, its supplier or their respective employees, consultants, dealers or associates, even if these parties have been advised of the possibility of such damages. By using the Software, you indemnify and agree to hold SoundTrek and its supplier harmless from such claims. You assume the entire risk as to the results and performance of the Software.

Enforcement
If any provision of this Agreement is determined to be invalid or unenforceable, that provision shall be deemed severed from the remainder of the Agreement and the remaining provisions of this Agreement shall continue in full force and effect. This Agreement and all disputes arising between the parties shall be governed by and construed in accordance with the laws of the State of Georgia in the USA.

Entire Agreement
This Agreement constitutes the entire agreement between the parties respecting the subject matter hereof and supersedes all prior proposals, agreements, negotiations, representations, writings and all other communications, whether written or oral, between the parties. No modification or waiver of any provision of this Agreement shall be effective unless made in writing signed by an authorized representative of both parties.
